Jakarta, CNBC Indonesia — PT Bank Syariah Indonesia (Persero) Tbk (BRIS) has explained the rationale for its planned second capital increase through a rights issue, formally known as a pre-emptive rights issue. As previously reported, the offering will issue up to 6.8 billion Series B shares, with a nominal value of Rp500 per share.

BSI President Director Anggoro Eko Cahyo said the corporate action is intended to strengthen financing at the state-owned sharia bank, where growth remains high at 16%. Although BSI’s funding is also growing strongly, with third-party funds up 15%, the bank still needs a healthy funding structure.

“If we want to maintain loan growth at 16%, we need healthy funding. So these funds will, of course, also be used to ensure that our funding is healthy,” Anggoro said after a press conference for the BSI International Expo in South Jakarta on Thursday (15 October 2026).

The second rights issue is also intended to meet the minimum free-float requirement of 15%. BRIS shares currently have a free float of 9.91%.

Anggoro said he hoped BRIS would eventually be included in the LQ45 index.

“The hope is that we can meet the free-float requirement and become part of, or be on a par with, the LQ45,” he said.

He went on to stress that the rights issue would bring a range of benefits.

According to an information disclosure to the Indonesia Stock Exchange (IDX), the new shares issued in the rights offering will carry the same rights and rank equally with the company’s other issued and paid-up Series B shares, including entitlement to dividends.

After all issuance costs have been deducted, the proceeds will be used entirely to provide financing in support of the company’s business growth. The company said details of the use of proceeds would be disclosed in the prospectus issued when the offering is carried out.

From a financial perspective, the second pre-emptive rights issue is intended to strengthen capital and increase financing capacity. Capital available to support the company’s business is projected to rise from Rp51.07 trillion in 2026 to Rp64.41 trillion in 2027.
