PT Bank Syariah Indonesia (Persero) Tbk (BRIS) plans to increase its capital through a second-stage Pre-emptive Rights Offering (HMETD), or rights issue. The bank intends to issue up to 6.8 billion Series B shares with a nominal value of Rp500 per share.

According to information disclosure from the Indonesia Stock Exchange (BEI), the new shares will carry the same rights and status as the company’s existing placed and paid-up Series B shares, including dividend rights.

The funds raised from this corporate action, after deducting all issuance costs, will be used entirely for financing distribution to support the company’s business growth. The company stated that the detailed use of funds will be disclosed in the prospectus issued at the time of implementation.

From a financial perspective, the second-stage rights issue aims to strengthen capital and increase financing distribution capacity. Capital to support the company’s business is projected to rise from Rp51.07 trillion in 2026 to Rp64.41 trillion in 2027.

Furthermore, the Capital Adequacy Ratio (CAR) is projected to increase from 20.38 per cent to 23.31 per cent. This capital strengthening is also expected to assist BSI in upgrading its bank classification based on core capital (KBMI) in accordance with applicable regulations.

In the short term, the capital increase may affect profitability ratios; however, a gradual recovery is expected as funds are deployed into productive assets.

For shareholders who do not exercise their rights, ownership will be diluted by up to 12.85%. All projections are indicative and subject to the final structure and the results of the second-stage rights issue implementation.

Moving forward, this plan will seek shareholder approval during an Extraordinary General Meeting of Shareholders (RUPSLB) scheduled for Friday, 6 November 2026. The company aims to complete this corporate action by the first quarter of 2027. The share subscription will be conducted in cash.
