JAKARTA. PT Bank Rakyat Indonesia Tbk (BRI) is set to divest the majority of its shareholding in PT BRI Manajemen Investasi (BRI MI) to PT Danantara Asset Management (DAM). Based on the disclosure of information on Thursday (2 April 2026), BRI signed a conditional share purchase agreement (PJBB) with DAM on 1 April 2026. This transaction relates to the planned sale of 19.5 million shares of BRI MI to DAM. That amount equates to 65% of the total placed and paid-up capital of BRI MI, potentially transferring control of the investment manager company to DAM. The value of this affiliated transaction is reported to reach Rp 975 billion. Meanwhile, based on an independent appraisal, the market value of BRI MI shares is estimated at Rp 969.3 billion. The document states that the transaction price is considered fair because it is above the market value set by the independent appraiser. In addition, this transaction is projected to provide added value to BRI’s financial performance. This transaction is conducted between affiliated parties, given that BRI and DAM are under the control of the same party, namely the Republic of Indonesia, either directly or indirectly. Nevertheless, the transaction does not fall into the category of material transaction as regulated by the regulator. Therefore, its implementation refers to the provisions for affiliated transactions in accordance with the Financial Services Authority Regulation (POJK). BRI’s management stated that this step aims to increase business synergy potential and complement DAM’s capabilities as the operational holding for state-owned enterprises in the investment sector. With this transaction, DAM is expected to strengthen its position in the asset management industry and create a more competitive and value-adding investment management company for stakeholders.
