BRI Officially Divests Entire Stake in BRI Manajemen Investasi, Danantara Takes Control

PT Bank Rakyat Indonesia (Persero) Tbk (IDX: BBRI) has submitted a Material Information or Fact Report regarding the sale of its shares in PT BRI Manajemen Investasi (BRI MI) to PT Danantara Asset Management (DAM). According to information disclosed to the Indonesia Stock Exchange on Thursday (23/7), on 22 July 2026, DAM and the Company signed a Deed of Sale and Purchase of Shares, covering the acquisition by DAM of 19,500,000 shares in BRI MI owned by the Company. This number of shares represents 65 percent of the total issued and paid-up capital of BRI MI. The signing of the Deed of Sale and Purchase of Shares was carried out as the completion of the share sale transaction as stipulated in the Conditional Sale and Purchase Agreement dated 1 April 2026 between the Company as the seller and DAM as the buyer. With the signing of the Deed, ownership of the 19,500,000 shares, equivalent to 65 percent of BRI MI’s shares previously held by the Company, has been fully transferred to DAM. The Company and DAM are affiliated parties as defined in the Financial Services Authority Regulation No. 42/POJK.04/2020 concerning Affiliated Transactions and Conflict of Interest Transactions. The Company had previously made an Information Disclosure based on POJK 42/2020 on 2 April 2026. This transaction is part of DAM’s effort as an operational holding to create a highly competitive asset management company and is expected to enhance business synergy potential and complement existing capabilities. With the signing of the Deed and the completion of the transaction in accordance with the Conditional Sale and Purchase Agreement, all shares owned by the Company in BRI MI have been transferred to DAM. Consequently, the Company no longer holds any ownership in BRI MI, and BRI MI’s financial statements will no longer be consolidated into the Company’s Financial Statements. Thus, BRI MI is no longer part of the Company Group.
