Bank Mega's AGM Approves Rp2 Trillion Cash Dividend and Rp5.87 Trillion Bonus Shares Distribution
PT Bank Mega Tbk, through its Annual General Meeting of Shareholders (AGMS), has approved a cash dividend distribution of Rp2 trillion. In addition, the AGMS approved the distribution of bonus shares derived from the capitalisation of additional paid-in capital (share premium) with a total value of Rp5.87 trillion.
Bank Mega’s President Director, Kostaman Thayib, stated in Jakarta on Tuesday that the approved cash dividend amount equates to Rp171.95 per share, with a payout ratio of 60% of the 2025 fiscal year net profit of Rp3.365 trillion. Besides the dividend, the AGMS approved the allocation of Rp35.1 million from net profit to reserves, with the remaining Rp1.3 trillion recorded as retained earnings.
Regarding the approval of the bonus share distribution from share premium, the company will distribute 11.74 billion bonus shares, allocated proportionally to each shareholder’s ownership on a 1:1 ratio.
The same AGMS also agreed on several other agenda items, including changes to the company’s composition, such as the appointment of Mariam and Jemy Kristian Soegiarto as Directors of the Company. Mariam and Jemy’s positions will take effect after receiving approval from the Financial Services Authority (OJK) on their capability and propriety assessment (fit and proper test).
The meeting also approved the dismissal of Yuni Lastianto as Director of the Company, effective from the closing of the AGMS. Furthermore, the meeting approved the termination of Indivara Erni’s term as Deputy President Director in line with her assignment to PT Mega Corpora. This termination will take effect after Jemy’s appointment following the successful fit and proper test, at the latest by 30 September 2026.
With these decisions, the composition of the company’s Board of Directors will be as follows:
