Bank Mega AGM Approves Rp2 Trillion Dividend and Rp5.87 Trillion Bonus Shares
Jakarta (ANTARA) - PT Bank Mega Tbk, through its Annual General Meeting of Shareholders (AGMS), has approved a cash dividend distribution of Rp2 trillion as well as a bonus share distribution derived from the capitalisation of additional paid-in capital (share premium) with a total value of Rp5.87 trillion.
Bank Mega’s President Director, Kostaman Thayib, stated in Jakarta on Tuesday that the approved cash dividend amount is equivalent to Rp171.95 per share, with a ratio of 60% of the net profit for the 2025 fiscal year, which stands at Rp3.365 trillion.
In addition to the dividend, the AGMS approved the allocation of Rp35.1 million from net profit to reserve funds, with the remaining Rp1.3 trillion to be recorded as retained earnings.
Regarding the agenda for approving the bonus share distribution from share premium, the company will distribute 11.74 billion bonus shares, where the distribution will be carried out proportionally according to each shareholder’s share ownership with a 1:1 ratio.
The positions of Mariam and Jemy will take effect after obtaining approval from the Financial Services Authority (OJK) regarding the assessment of capability and propriety (fit and proper test).
The meeting also approved the dismissal of Yuni Lastianto as a Director of the Company, effective from the closing of the AGMS.
Furthermore, the meeting approved the termination of Indivara Erni’s term as Deputy President Director in line with her assignment to PT Mega Corpora.
The termination of this position will take effect after Jemy’s appointment following the successful completion of the fit and proper test, at the latest by 30 September 2026.
With this decision, the composition of the company’s Board of Directors will be as follows:
