(BMRI) has announced information disclosure regarding an affiliated transaction involving the transfer of shares in its subsidiary, PT Mandiri Manajemen Investasi (MMI), to PT Danantara Asset Management (DAM). The transaction was executed through the signing of a Conditional Share Purchase Agreement on 1 April 2026 between PT Mandiri Sekuritas (Mansek) and the Bank Mandiri Employee Consumer Cooperative as sellers, with DAM as the buyer. The transaction value was agreed at Rp1.024 trillion for 1,499 shares, equivalent to 99.93% ownership in MMI. Bank Mandiri’s management explained that this transaction is part of an initiative to consolidate asset management companies within the state-owned enterprise (SOE) ecosystem under DAM’s management. This step is expected to strengthen business synergies and enhance integrated asset management capabilities. The company emphasised that the transaction qualifies as an affiliated transaction due to common control by the Republic of Indonesia over the involved parties. Nevertheless, BMRI’s Board of Directors and Board of Commissioners assured that the transaction has been conducted in accordance with adequate procedures and does not involve any conflicts of interest. In terms of materiality, the transaction value represents only about 0.32% of the company’s consolidated equity as of 31 October 2025. Therefore, it does not meet the criteria for a material transaction and does not require approval from the General Meeting of Shareholders (GMS). Based on an independent valuation report, the fair market value of 100% of MMI’s shares is approximately Rp1.004 trillion, indicating that the agreed transaction value remains in the fair category. The valuation employed market and income approaches, including comparable company analysis and discounted cash flow methods. Following the effective date of the transaction, MMI’s ownership will fully transfer to DAM, making the company part of the asset management ecosystem under Danantara.
