PT Astra International Tbk (ASII) will hold its Annual General Meeting of Shareholders (AGMS) on 23 April 2026. Matters to be discussed with shareholders include the use of net profit, dividend distribution, and changes to the management structure. Management reported that Astra recorded consolidated net profit of Rp32.76 trillion. In line with this achievement, the company proposes a cash dividend distribution of Rp390 per share. This amount includes the interim dividend of Rp98 per share already paid in October 2025. Thus, the remaining dividend of Rp292 per share is planned to be distributed in May 2026. Besides dividend distribution, another key agenda concerns changes to the management lineup. As background, the majority of the terms of the Board of Commissioners and Board of Directors will end at the close of the 2026 AGMS, so the company proposes reappointments and the appointment of new members. It is stated that the major shareholder, Jardine Cycle & Carriage Limited, has proposed several names to fill director positions, including Rudy as President Director, and other directors such as Gidion Hasan, Santosa, Gita Tiffani Boer, FXL Kesuma, Thomas Junaidi Alim, W. Hsu Hai Yeh, Siswadi, and Djap Tet Fa. Meanwhile, the commissioner lineup is also proposed to include names such as Prijono Sugiarto as President Commissioner, as well as several independent commissioners including Sri Indrastuti Hadiputranto, Muliaman Darmansyah Hadad, Muhamad Chatib Basri, and Pariya Tangtongpairot. Other commissioner proposals include Anthony John Liddell Nightingale and Benjamin William Keswick. In the remuneration agenda, Astra proposes setting the total honorarium for the Board of Commissioners at a maximum of Rp2.16 billion per month (gross), effective from 23 April 2026 until the close of the 2027 AGMS.
