Alfamart (AMRT) Restructures Business Ownership in Singapore, Philippines & Bangladesh
PT Sumber Alfaria Trijaya Tbk (AMRT) has restructured its ownership and integrated operational businesses in several countries. The move was disclosed in a public information release on Wednesday (17/6/2026), detailing a series of transactions conducted through Alfamart’s Singapore subsidiary, Alfamart Retail Asia Pte. Ltd. (ARA). The restructuring comprises three transaction sequences involving Glory Worldwide Investment Pte. Ltd. (GWI), an investment company based in Singapore. GWI is an affiliate of AMRT due to shared management. According to the information disclosure, these transactions were executed on 15 June 2026. In the first step of the restructuring, Alfamart carried out a capital increase via a Subscription Agreement. In this transaction, Alfamart Retail Asia Pte. Ltd. (ARA) issued 49.75 million new shares worth approximately US$40.63 million, equivalent to Rp 680 billion. The proceeds from this capital increase were then used for the second transaction, the purchase of shares in Alfamart Trading Philippines, Inc. (ATP). Through a Share Purchase Agreement, ARA acquired a 10% stake in ATP from GWI for a transaction value of approximately US$10.53 million. This acquisition increased ARA’s ownership in the Alfamart retail entity in the Philippines from 35% to 45%. Not stopping in the Philippines, ARA will also take over AMRT’s shares in the Bangladesh business entity. In the third transaction, a Share Sale and Purchase Agreement, ARA purchased a 70.02% stake in Alfamart Bangladesh Limited (ATB) previously held by GWI. The transaction value reached 220.75 million Bangladeshi Taka. With this acquisition, ARA officially becomes the majority shareholder and operational controller of AMRT’s business in Bangladesh. Corporate Secretary of Sumber Alfaria Trijaya, Tomin Widian, explained in the disclosure to the Indonesia Stock Exchange that the restructuring has several strategic objectives. One is to strengthen capital to support international expansion without having to continuously rely on internal funding from the parent company in Indonesia. GWI’s presence as a strategic partner is expected to provide more flexible funding support for regional business development. Additionally, the transaction aims to integrate overseas business operations under a single management umbrella through ARA. With a more centralised structure, business coordination in the Philippines and Bangladesh is expected to become more efficient and effective. On the other hand, the change in structure allows PT Sumber Alfaria Trijaya Tbk to remain focused on cultivating the domestic minimarket market, which is its core business. Although direct ownership in ARA is reduced, Alfamart retains significant influence over its international business while having the opportunity to benefit from growth in overseas markets. Consequently, this transaction is not categorised as a material transaction requiring approval from the General Meeting of Shareholders (RUPS) as stipulated in POJK Number 17 of 2020. The company is only required to obtain and submit a fairness opinion from an independent appraiser. AMRT shares closed up 2.89% at Rp 1,425 per share on Wednesday (17/6/2026).
