PT Brantas Abipraya (Persero) has undertaken a restructuring of its subsidiary, PT Brantas Energi, through the merger of PT Buana Enjiniring Konsultan (BEK) and PT Guna Rogate Indah (GRI) into PT Graha Investama Bersama (GIB).

This decision was finalised during an Extraordinary General Meeting of Shareholders (EGMS), where GIB was designated as the receiving company. Following the merger in accordance with statutory regulations, the assets and liabilities of BEK and GRI will legally transfer to GIB, while the legal status of BEK and GRI will be dissolved.

Post-merger, the placed and paid-up capital of GIB will increase from Rp163.94 billion to Rp194.20 billion.

“The EGMS approved the merger of BEK and GRI into GIB as the receiving company, including the Merger Plan, the draft Deed of Merger, and the amendments to GIB’s Articles of Association,” management stated in an official release on Friday (4/9/2026).

Purnomo, Director of Business Development, Human Capital & Legal at PT Brantas Abipraya (Persero), stated that this step is part of Brantas Abipraya’s subsidiary streamlining programme, aligning with the transformation direction set by the Ministry of SOEs and BPI Danantara.

He noted that corporate structural transformation is a vital step for the company to strengthen its fundamentals and sharpen its future business direction. This aligns with the directives from the COO of Danantara Indonesia, Dony Oskaria, during a meeting on 2 September 2026, which emphasised the importance of structural arrangement and business focus to build healthier and more competitive companies.

“With a leaner structure and a stronger business focus, Brantas Abipraya is being directed to become an increasingly professional and healthy construction company, capable of generating greater value for the community and Indonesia’s development,” said Purnomo.

For Brantas Abipraya, this merger is not merely a corporate action but part of an effort to build a more effective business entity structure and ensure every entity has a clear function and contribution to the company’s strategy.

Meanwhile, the Corporate Secretary of PT Brantas Abipraya (Persero), Dian Sovana, stated that the consolidation through the merger of BEK and GRI into GIB is expected to create a simpler business structure while strengthening synergy within the Brantas Abipraya business ecosystem.

“We want to ensure that every entity within the Brantas Abipraya ecosystem truly contributes to value creation. Therefore, portfolio arrangement and consolidation are part of the company’s transformation journey to become more agile, competitive, and sustainable,” she said.

Additionally, the EGMS approved amendments to GIB’s Articles of Association and appointed a new management structure, namely Satria Gunawan as Commissioner and Joko Widiyantoro as Director, effective from 4 September 2026.

“The ongoing transformation within the SOE ecosystem requires consistency in execution. Brantas Abipraya will continue to ensure that every restructuring step is conducted with good governance principles, while considering the interests of stakeholders, ultimately aiming to create a stronger company that provides greater value to the nation,” Dian concluded.
