After Jumbo Crossing, PKPK Acquires Shipping Company for Rp 890 Billion
PT Paragon Karya Perkasa Tbk (PKPK) has completed a material transaction involving the acquisition of shares in PT Deli Pratama Angkutan Laut (DPAL). The company disclosed that the transaction was carried out with Resources Global Development Limited (RGD) as the seller. Through this transaction, PKPK acquired 6,125 Series A shares owned by RGD in PT Deli Pratama Angkutan Laut. These shares represent 50.52% of the Series A shares, or the equivalent of 49% of all issued and fully paid-up shares previously owned by RGD. The acquisition transaction value reached Rp 890 billion. “The Acquisition Plan was approved by independent shareholders at the Extraordinary General Meeting of Independent Shareholders held on 30 June 2026,” management wrote in an Indonesia Stock Exchange (BEI) information disclosure on Monday (20/7/2026). The company announced that on 17 July 2026, a Share Sale and Purchase Deed was signed as the execution of the acquisition plan that had previously received approval from independent shareholders. PKPK management assessed that this acquisition will have a positive impact on the company’s operational activities and financial performance. As a company engaged in shipping and marine transportation services, DPAL is considered to have a strategic role in supporting the mining industry supply chain, particularly coal transportation. “Therefore, this can increase the company’s profit, create business synergy and operational efficiency. The company has a subsidiary in the coal mining sector,” management wrote. Furthermore, the acquisition is expected to create business synergies between entities within the PKP business group while increasing operational efficiency, especially for subsidiaries operating in the coal mining sector. Meanwhile, a change in the shareholding structure of PKPK had previously occurred. Deli Putra Bangsa sold its entire stake in PKPK, amounting to 900 million units. RGD absorbed 612 million shares, bringing its ownership in PKPK to 51% after the transaction. The remaining 288 million shares were taken up by PT Deli Pratama Nusantara, giving the company a 24% stake in PKPK. Along with this transaction, PKPK management stated that there was no change in capital, total shares, controller, or ultimate beneficial owner. Citing market data, the RGD transaction was conducted through the negotiated market at an average price of Rp 1,600, bringing the total transaction value to Rp 979.2 billion.
