Adhi Karya (ADHI) Restructures Board of Commissioners and Directors, Here is the New Composition
JAKARTA, KOMPAS.com - PT Adhi Karya (Persero) Tbk (ADHI) has restructured its Board of Commissioners and Directors at the Annual General Meeting of Shareholders (AGMS) for the 2025 Fiscal Year, held on Thursday (7/5/2026).
Shareholders have honourably dismissed Bob Arthur Lombogia from his position as Commissioner and Alloysius Suko Widigdo from his role as Director of Operations I.
In their place, shareholders have approved the appointment of Alexander Rubi Satyoadi as Commissioner of the company.
Additionally, the AGMS has determined changes to the nomenclature and composition of the Board of Directors of the state-owned enterprise.
ADHI Corporate Secretary, Rozi Sparta, stated that all decisions taken at the AGMS are part of the company’s efforts to strengthen corporate governance and maintain business continuity.
“All decisions taken at the AGMS are part of the company’s efforts to strengthen corporate governance, maintain business continuity, and support the achievement of performance targets and the company’s growth strategy moving forward,” Rozi said in his statement on Thursday.
These changes are being made to comply with Law No. 16 of 2025 on State-Owned Enterprises (BUMN).
Shareholders have also approved adjustments to the Indonesian Standard Industrial Classification (KBLI) in the company’s articles of association.
The AGMS has also granted full settlement and discharge of responsibility, or volledig acquit et de charge, to the Board of Directors and Board of Commissioners for their management and supervisory actions during the 2025 Fiscal Year.
Furthermore, shareholders have set the remuneration for management for the 2026 Fiscal Year, appointed a public accountant to audit the 2026 financial statements, and approved the delegation of authority for approving the Long-Term Business Plan (RJPP) 2026-2030 and the 2027 Work Plan and Budget (RKAP).
