        "content": "<p>Jakarta, CNBC Indonesia \u2014 PT XLSMART Telecom Sejahtera Tbk (XLSMART)\nheld an Extraordinary General Meeting of Shareholders (EGMS) on 12\nOctober 2026. Shareholders approved changes to the company\u2019s Board of\nCommissioners, including accepting Vivek Sood\u2019s resignation as\ncommissioner and appointing Thomas Hundt to the position.<\/p>\n<p>The EGMS accepted Sood\u2019s resignation, effective upon the close of the\nmeeting on 12 October 2026, and expressed its appreciation for his\nperformance and contributions during his time at the company.<\/p>\n<p>The meeting also approved a full release and discharge (acquit et de\ncharge) for Sood in respect of actions taken in his capacity as\ncommissioner from 1 January 2026 to 12 October 2026, provided those\nactions are reflected in the company\u2019s books, including its financial\nstatements, which are to be approved at the 2026 annual general meeting,\nand do not constitute criminal acts.<\/p>\n<p>At the same meeting, shareholders approved Hundt\u2019s appointment as\ncommissioner in place of Sood. His appointment took effect upon the\nclose of the EGMS on 12 October 2026 and will run until the end of the\nBoard of Commissioners\u2019 term, at the close of the annual general meeting\nfor the 2029 financial year.<\/p>\n<p>Hundt, 49, is a German national with extensive experience in the\ntelecommunications and technology industries. His background includes\ncompany development, business strategy, large-scale network\ntransformation and the implementation of strategic programmes in the\ntelecommunications sector.<\/p>\n<p>Since April 2025, Hundt has served as Axiata Group\u2019s Group Chief\nBusiness &amp; Technology Officer. Before that, from October 2021, he\nwas Group Chief Strategy &amp; Technology Officer. In these roles, he\nhas led the alignment of business and technology across the group and\nsupported improvements in technology, operational performance and the\nlong-term readiness of Axiata\u2019s operating companies.<\/p>\n<p>Before taking on group-level roles, Hundt was the founding CEO of\nSmart Axiata in Cambodia from mid-2008. Over approximately 14 years, he\nled Smart\u2019s development from a greenfield company into a market leader\nthrough stronger business execution and several industry consolidation\nmoves, including the acquisition of Star-Cell in 2011 and a merger with\nHello Axiata in 2013.<\/p>\n<p>Hundt has also held several senior leadership positions at Siemens AG\nand Nokia Siemens Networks, with experience in communications\ninfrastructure, network operations and large-scale transformation\nprogrammes.
