        "content": "<p>JAKARTA, KOMPAS.com - PT Wahana Interfood Nusantara Tbk (COCO) or\nWin&amp;Co Group plans to undertake a Capital Increase with Pre-emptive\nRights III (PMHMETD III).<\/p>\n<p>This corporate action has received approval from shareholders at the\nExtraordinary General Meeting of Shareholders (RUPSLB) on Friday\n(17\/4\/2026) in Jakarta.<\/p>\n<p>Win&amp;Co Group\u2019s President Director, Sugianto Soenario, stated that\nthis approval marks the beginning of a new growth phase for the company,\nfollowing the operational transformation carried out throughout 2025,\nwhich has begun to show positive results, particularly in improving\nperformance in Q4-2025.<\/p>\n<p>Through this rights issue, the company plans to issue up to 10.67\nbillion new shares with a nominal value of Rp 100 per share.<\/p>\n<p>In addition, the company also plans to issue warrants with a maximum\namount reaching 35 percent of the total shares placed and fully paid up\nat the time the registration statement is submitted to the Financial\nServices Authority (OJK).<\/p>\n<p>Sugianto explained that this shareholder approval reflects confidence\nin the company\u2019s business transformation direction and serves as a\nfoundation to accelerate future expansion steps.<\/p>\n<p>\u201cThis approval not only strengthens confidence in the strategy we are\nimplementing but also becomes a momentum for the company to enter the\nnext growth phase in a more aggressive and measured manner,\u201d Sugianto\nsaid in an official statement on Monday (20\/4\/2026).<\/p>\n<p>Based on the 2025 Financial Report, Win&amp;Co Group recorded a sales\nperformance increase of around 40 percent compared to the previous\nquarter.<\/p>\n<p>Sugianto explained that this momentum is driven by strengthening in\nthe business-to-business (B2B) segment, particularly in the processed\ncocoa and raw materials business.<\/p>\n<p>In addition, retail product growth through innovation in\nchocolate-based product variants and strategic partnerships is also\nbeginning to contribute more to the company\u2019s performance.<\/p>\n<p>In line with this, the industry prospects that the company is\nfocusing on also show a growth trend.<\/p>\n<p>The global cocoa and chocolate market is projected to grow with a\nCAGR of around 4.9 percent until 2034, while the cocoa raw materials\nmarket in Indonesia is estimated to grow around 6 percent until\n2031.<\/p>\n<p>\u201cDriven by increased consumption of chocolate-based products,\nexpansion of the food and beverage industry, and the premiumisation\ntrend of products,\u201d he said.<\/p>\n<p>In addition, Sugianto stated that Indonesia has strengthened its\nposition as one of the major global players by becoming the world\u2019s\nfourth-largest processed cocoa producer.<\/p>\n<p>In this growth momentum, the company is confident in accelerating\nexpansion in its main business lines, including strengthening the\nprocessed cocoa and raw materials sector, developing consumer products,\nand strategic acquisitions to expand the business portfolio.<\/p>\n<p>\u201cThis strategy is expected to strengthen the company\u2019s position as\none of the significant players in the processed cocoa and raw materials\nindustry, as well as increase competitiveness in the national and\ninternational markets in the long term,\u201d he concluded.<\/p>",
