        "content": "<p>PT Trisula International Tbk. (TRIS) plans to conduct a share buyback\nvalued at IDR 15 billion. The number of shares to be repurchased will be\na maximum of 3% of the company\u2019s issued and paid-up capital, equivalent\nto a maximum of 94 million shares. According to information disclosed on\nthe Indonesia Stock Exchange (IDX), the buyback will take place over\nthree months, from 6 July 2026 to 5 October 2026. The management stated\nthat the share buyback will be carried out in accordance with the\nprovisions of the Financial Services Authority Regulation No.\u00a013 of 2023\nconcerning policies to maintain capital market performance and stability\nduring significantly fluctuating market conditions. Management confirmed\nthat the share buyback is not expected to cause a decline in the\ncompany\u2019s revenue. Furthermore, management believes this corporate\naction will not have a material negative impact on the company\u2019s\nbusiness activities or financial condition. As an illustration, based on\nthe proforma financials as of 31 March 2026, the company\u2019s profit for\nthe year remains at IDR 17.23 billion both before and after the buyback.\nHowever, the number of outstanding shares is projected to decrease from\n3,093,211,331 shares to 2,999,211,331 shares after accounting for\ntreasury shares. With the reduction in outstanding shares, earnings per\nshare (EPS) is estimated to increase from IDR 5.57 per share to IDR 5.75\nper share. The company has set a maximum buyback price of IDR 170 per\nshare. The share buyback will be conducted both through the Indonesia\nStock Exchange and off-market. For transactions through the exchange,\nthe company has appointed PT Phillip Sekuritas Indonesia as the\nbrokerage firm to execute the share buyback.
