        "content": "<p>The shipping and logistics issuer, PT Samudera Indonesia Tbk (SMDR),\nhas taken a strategic step to strengthen its business base. The company\nhas officially injected capital totalling Rp40.7 billion into two of its\nsubsidiaries, namely PT Samudera Properti Indonesia (SPI) and PT\nPerusahaan Pelayaran Cumawis (Cumawis).<\/p>\n<p>According to public disclosures, the capital increase transactions\nwere carried out on 16 September 2026. The Corporate Secretary of\nSamudera Indonesia, Idaman Putri Erwin, stated that the first\ntransaction involved a paid-up capital increase in PT Samudera Properti\nIndonesia (SPI) amounting to Rp33.7 billion. This injection was executed\nthrough the issuance of 33,700 new shares in SPI at a par value of\nRp1,000,000 per share.<\/p>\n<p>\u201cThis move increases SMDR\u2019s shareholding in SPI from the previous\n99.099 per cent (27,500 shares) to 99.593 per cent (61,200 shares),\u201d\nIdaman noted in the document. Meanwhile, the remaining shareholders in\nSPI are PT Samudera Indonesia Tangguh, holding 0.399 per cent (245\nshares), and PT Samudera Wadah Mitra, holding 0.008 per cent (5\nshares).<\/p>\n<p>Idaman further explained that the capital injection into SPI aims to\nstrengthen the subsidiary\u2019s capital structure and support business\ndevelopment within the property sector. This capital provision is\nexpected to improve the subsidiary\u2019s financial position in conducting\nits operational activities, thereby driving more optimal business\nsynergy, increasing consolidated revenue contributions, and ultimately\ncreating sustainable value for all shareholders, particularly public\nshareholders.<\/p>\n<p>Furthermore, Idaman added that the second transaction was allocated\nto PT Perusahaan Pelayaran Cumawis with a value of Rp7 billion. The\ncapital injection was conducted through the issuance of 7,000 new shares\nat a par value of Rp1,000,000 per share. SMDR\u2019s ownership in PT Cumawis\nincreased slightly from 99.986 per cent (36,395 shares) to 99.988 per\ncent (43,395 shares), while PT Samudera Wadah Mitra holds the remaining\n0.012 per cent (5 shares).<\/p>\n<p>\u201cThe injection into PT Cumawis is intended to strengthen the shipping\nbusiness line and the operational synergy of the business group,\u201d Idaman\nemphasised. Management hopes this additional capital will boost PT\nCumawis\u2019s revenue, which in turn will contribute positively to SMDR\u2019s\nconsolidated financial statements.<\/p>\n<p>Both capital increase transactions are categorised as Affiliated\nTransactions in accordance with POJK No.\u00a042\/POJK.04\/2020, as both\ncompanies are integrated subsidiaries of SMDR. Nevertheless, these\ntransactions are exempt from certain obligations and are not considered\nmaterial transactions, as their values represent only approximately 0.24\nper cent and 0.05 per cent of the company\u2019s total equity, which was\nrecorded at USD 787.77 million as of 30 June 2026.<\/p>",
