        "content": "<p>PT PP (Persero) Tbk (PTPP) officially signed a Master Restructuring\nAgreement (MRA), or Credit Agreement, for the purpose of debt\nrestructuring with several creditor banks on 10 September 2026. This\ninformation was disclosed by the Company in a disclosure to the\nFinancial Services Authority (OJK) and the Indonesia Stock Exchange\n(BEI) on Thursday (11\/9\/2026).<\/p>\n<p>This restructuring involves four state-owned banks as\ncreditors\/facility providers, namely PT Bank Mandiri (Persero) Tbk\n(BMRI), PT Bank Rakyat Indonesia (Persero) Tbk (BBRI), PT Bank Negara\nIndonesia (Persero) Tbk (BBNI), and PT Bank Syariah Indonesia Tbk\n(BRIS).<\/p>\n<p>In addition to being one of the creditors, Bank Mandiri also acts as\nthe Facility Agent that signed the MRA.<\/p>\n<p>The Company explained that this transaction is classified as an\naffiliated transaction, given that both PTPP and the four creditor banks\nare State-Owned Enterprises (SOEs) whose shares are owned by the\nGovernment of the Republic of Indonesia and PT Danantara Asset\nManagement. The government and Danantara Asset Management\u2019s shareholding\nin PTPP is recorded at 51.00%.<\/p>\n<p>The Company emphasised that the MRA will only become effective\nfollowing the implementation of a General Meeting of Shareholders (RUPS)\nand the fulfilment of several other conditions set out in the\nagreement.<\/p>\n<p>Business and Financial Transformation<\/p>\n<p>PTPP management explained that this restructuring is part of the\nCompany\u2019s business and financial transformation, which aims to maintain\nbusiness continuity, improve operational and financial performance, and\nstrengthen the Company\u2019s ability to settle all its obligations to\ncreditors.<\/p>\n<p>\u201cWith the signing of this MRA, it is expected to have a positive\nimpact on the ongoing financial restructuring process, as well as on the\nbusiness continuity and financial condition of the Company in the\nfuture,\u201d management wrote in the disclosure.<\/p>\n<p>The Board of Commissioners and Directors of PTPP also stated that\nafter careful review, the information provided does not contain any\nuntrue or misleading statements. The Company further emphasised that\nthis transaction is an exempted affiliated transaction as referred to in\nPOJK 4lar\/2020, as well as an exempted material transaction as referred\nto in POJK 17\/2020.<\/p>",
