PT Geoprima Solusi Tbk (GPSO) has completed its capital increase
without pre-emptive rights (PMTHMETD), commonly known as a private
placement, raising fresh funds amounting to Rp 28.46 billion.

These funds will serve as ammunition for the company to strengthen
its business expansion following the entry of a new controlling
shareholder and the addition of several business sectors through changes
to the Indonesian Standard Industrial Classification (KBLSS).

According to the company’s information disclosure, GPSO issued
66,674,000 new shares with a nominal value of Rp 50 per share and an
execution price of Rp 427 per share. All new shares were absorbed by PT
PIMSF Pulogadung (PIMSF), which is now the new controlling shareholder
and part of the Tjokro Group business network.

With this execution price, the company obtained funds totaling Rp
28,469,798,000, which will be used to support business development. The
implementation of the private placement received shareholder approval
during the Extraordinary General Meeting of Shareholders (EGMS) on 22
June 2026.

As scheduled, the distribution of shares to PIMSF was carried out on
3 July 2026, followed by the listing of the new shares on the Indonesia
Stock Exchange (IDX) on 6 July 2026, and the announcement of the
implementation results on 8 July 2026.

The President Director of Geoprima Solusi (GPSO), Dionysius Tjokro,
stated that the entry of PIMSF as the new controller brings a change in
the company’s business direction. This includes adding several KBLI
codes so that GPSO’s business activities align with the Tjokro Group
business ecosystem.

“The change in KBLI is in line with the change in the Company’s
controlling shareholder, namely PT PIMSF Pulogadung, which is an
affiliate of the Tjokro Group. Through this change, the company can
conduct business activities that are aligned and synergistic with the
Tjokro Group business ecosystem. With this change in KBLI, the company
is optimistic that it can expand revenue sources and strengthen business
performance through synergy with Tjokro Group,” Dionysius said in a
written statement on Monday (6/6/2026).

The addition of business sectors includes KBLI 70209 for management
and other business consultancy activities, KBLI 46591 related to the
wholesale trade of office and industrial machinery, including parts and
accessories, and KBLI 68129 regarding real estate activities for
non-residential buildings and land, both owned and leased.

Despite expanding its business lines, the company ensures that its
core business in the wholesale trade of machinery and other equipment
through KBLI 46599 will be maintained. Survey equipment, land mapping,
and measurement services will also remain part of the company’s business
portfolio.

Management explained that the addition of KBLI in the real estate
sector is a strategic step to support the planned purchase of assets
owned by PT JIC, with an estimated value of approximately Rp 78 billion.
These assets will subsequently be leased, which is expected to provide
additional recurring income for the company. This investment has also
been included in GPSO’s capital expenditure (capex) plan throughout
2026.

Regarding performance, management acknowledged that in the third
quarter of 2026, the company is still undergoing administrative and
operational adjustment processes following the acquisition.

“However, with the completion of the KBLI changes and the influx of
additional capital through the private placement, GPSO is optimistic
that revenue and profit will begin to grow gradually starting from the
second semester of 2026 and continue in subsequent periods,” he
concluded.
",
