Pertamina continues to strengthen the transformation of the Pertamina\nGroup through the signing of the Merger Deed of PT Pertamina Energy\nTerminal (PET) into PT Pertamina Patra Niaga (PPN), acting as the\nDownstream Subholding and the surviving entity. The signing took place\nat the Pertamina Head Office in Jakarta, marking the completion of a\nsignificant stage in the implementation of the Second Phase of\nDownstream Business Restructuring.<\/p>\n
The President Director of PT Pertamina (Persero), Simon Aloysius\nMantiri, emphasised that this momentum is not merely about fulfilling\nlegal requirements, but is a manifestation of the shared commitment of\nall Pertamina Group personnel to provide the best service to the\nIndonesian people.<\/p>\n
\u201cWhat we are signing today is a collective commitment to building a\ndownstream business that is not only structurally integrated but also\nreliable, competitive, and equitable,\u201d Simon stated in an official\nrelease on Tuesday (1\/9\/2026).<\/p>\n
He emphasised that the benefits of this integration must be felt by\nall citizens, from Sabang to Merauke. Simon asserted that amidst the\ncurrents of transformation, downstream business operations must not\nfalter, as providing energy services to the public remains Pertamina\u2019s\nprimary duty.<\/p>\n
\u201cIn the midst of complex and demanding transformation currents,\ndownstream business operations must not recede, even for a single\nsecond,\u201d he stressed. Simon also reminded that energy service to the\ncommunity remains the core mission and duty of all Pertiment\nofficers.<\/p>\n
Furthermore, Simon placed this merger within the framework of the\nDanantara mandate, which involves transforming into a State-Owned\nEnterprise (BUMN) that is adaptive, agile, and competitive. To this end,\nhe requested all levels of management to maintain consistency in\ndirection, strengthen governance and role clarity within the Downstream\nSubholding, and ensure a smooth transition without disrupting operations\nor energy services to the public.<\/p>\n
\u201cContinue to optimise the value chain, cost efficiency, and\noperational synergy, so that Pertamina truly becomes a focused, strong,\nand dignified energy company,\u201d he asserted.<\/p>\n
The merger of PET into PPN is a continuation of the First Phase of\nDownstream Business Restructuring, which became effective on 1 February\n2026. This previous phase included the merger of PT Kilang Pertamina\nInternasional (KPI) and 10 special purpose vehicles (SPVs) of PT\nPertamina International Shipping (PIS) into PPN, as well as the transfer\nof PIS\u2019s captive vessel fleet to PPN.<\/p>\n
Simon added that throughout the integration process, downstream\nbusiness operations will continue at full capacity to meet the energy\nneeds of the community. Following the effective date, Pertamina will\nfocus its efforts on organising processes and structures within the\nDownstream Subholding, while continuing to optimise the value chain,\noperational expenditure (OPEX) optimisation, and operational\nsynergy.<\/p>\n
During the ceremony, two deed documents were signed: the Merger Deed\nby the President Director of PT Pertamina Patra Niaga (PPN) Mars Ega\nLegowo Putra and the President Director of PT Pertamina Energy Terminal\n(PET) Bayu Prostiyono, as well as the Deed of Amendment to the PPN\nArticles of Association by the President Director of PT Pertamina Patra\nNiaga Mars Ega Legowo Putra, in the presence of Notary Jose Dima.
