        "content": "<p>Jakarta \u2014 Global mid-market merger and acquisition (M&amp;A)\ntransaction activity was recorded as declining throughout 2025 amid\nescalating geopolitical tensions and uncertainty surrounding trade\ntariffs.<\/p>\n<p>Despite this, a number of delayed transactions remain in the pipeline\nas investors choose to await more favourable market conditions.<\/p>\n<p>BDO\u2019s M&amp;A Horizons 2026 report indicates that the decline in\nglobal mid-market activity last year was also influenced by limited\nstrategic planning horizons amid economic uncertainty.<\/p>\n<p>In the Asia-Pacific region, mid-market transactions have increasingly\nbecome the primary focus of private equity activity. Investors tend to\nprioritise smaller-scale transactions focused on operational improvement\nrather than large-scale acquisitions.<\/p>\n<p>In Southeast Asia, private equity recorded investments of\napproximately $9.1 billion through 59 transactions throughout 2025. This\nfigure reflects an increasingly selective investment environment.<\/p>\n<p>Consumer growth and accelerating digital adoption adoption continue\nto be factors attracting both domestic and international investors.\nAdditionally, sectoral dynamics such as consolidation in financial\nservices and growing interest in technology, manufacturing, and\nsustainable energy sectors are driving transaction activity.<\/p>\n<p>Marvin Camangeg, Partner (Advisory) at BDO Indonesia, believes that\ninvestors going forward will increasingly demand higher due diligence\nstandards and more creative transaction structures.<\/p>\n<p>Conventionally, the due diligence process in M&amp;A transactions has\nfocused heavily on verification of financial, tax and legal aspects of\ncompanies.
