        "content": "<p>PT Bank Negara Indonesia (Persero) Tbk, or BNI, will distribute a\ncash dividend of IDR 13.03 trillion. The decision resulted from the\nbank\u2019s Annual General Meeting of Shareholders (AGMS) for the 2025\nfinancial year. The dividend represents 65 percent of consolidated net\nprofit attributed to the parent entity of IDR 20.04 trillion.<\/p>\n<p>BNI Corporate Secretary Okki Rushartomo stated that the decision\nreflects the company\u2019s commitment to providing optimal value to\nshareholders whilst safeguarding the company\u2019s fundamentals through\nstrengthening capital structure. \u201cThe strategic decisions agreed upon in\nthis AGMS are part of efforts to maintain sustainable performance,\u201d Okki\nsaid on Monday, 9 March 2026.<\/p>\n<p>At the meeting, shareholders also approved the allocation of 35\npercent of net profit, approximately IDR 7.01 trillion, as retained\nearnings. These funds will be used to support business expansion and\nstrengthen Bank Negara Indonesia\u2019s capital capacity amid evolving\nbanking industry dynamics.<\/p>\n<p>In addition to dividend distribution, the AGMS approved a share\nbuyback plan with a maximum transaction value of IDR 905.48 billion,\nincluding transaction costs. Okki explained that the buyback is one of\nthe company\u2019s instruments to maintain stock price stability whilst\nproviding flexibility in company capital management.<\/p>\n<p>\u201cThis buyback decision demonstrates management\u2019s confidence in the\ncompany\u2019s long-term prospects whilst providing flexibility in\nstrengthening capital,\u201d Okki said.<\/p>\n<p>The repurchased shares will be held as treasury stock, which can be\ntransferred through resale on the Indonesia Stock Exchange or\noff-exchange. The shares can also be utilised for implementation of an\nEmployee and\/or Officer Share Ownership Programme.<\/p>\n<p>In the same AGMS, shareholders approved changes to the company\u2019s\nArticles of Association concerning the reclassification of BP BUMN\u2019s\nSeries B shares into Series A Dwiwarna shares. The reclassification\ninvolved 223,783,877 shares as part of adjustments to Law Number 16 of\n2025 on the Fourth Amendment to Law Number 19 of 2003 concerning\nState-Owned Enterprises.<\/p>\n<p>Okki stated that the adjustment represents the company\u2019s compliance\nwith the latest regulations. \u201cWhilst ensuring optimal corporate\ngovernance,\u201d he said.<\/p>\n<p>The same AGMS also approved other agenda items, including the\ndetermination of remuneration for the Board of Directors and Board of\nCommissioners for the 2026 financial year, and received a report on the\nrealisation of the use of funds from the offering of Sustainability Bond\nPhase I in 2025.<\/p>",
