        "content": "<p>JAKARTA, KOMPAS.com - PT Adhi Karya (Persero) Tbk (ADHI) has\nrestructured its Board of Commissioners and Directors at the Annual\nGeneral Meeting of Shareholders (AGMS) for the 2025 Fiscal Year, held on\nThursday (7\/5\/2026).<\/p>\n<p>Shareholders have honourably dismissed Bob Arthur Lombogia from his\nposition as Commissioner and Alloysius Suko Widigdo from his role as\nDirector of Operations I.<\/p>\n<p>In their place, shareholders have approved the appointment of\nAlexander Rubi Satyoadi as Commissioner of the company.<\/p>\n<p>Additionally, the AGMS has determined changes to the nomenclature and\ncomposition of the Board of Directors of the state-owned enterprise.<\/p>\n<p>ADHI Corporate Secretary, Rozi Sparta, stated that all decisions\ntaken at the AGMS are part of the company\u2019s efforts to strengthen\ncorporate governance and maintain business continuity.<\/p>\n<p>\u201cAll decisions taken at the AGMS are part of the company\u2019s efforts to\nstrengthen corporate governance, maintain business continuity, and\nsupport the achievement of performance targets and the company\u2019s growth\nstrategy moving forward,\u201d Rozi said in his statement on Thursday.<\/p>\n<p>These changes are being made to comply with Law No.\u00a016 of 2025 on\nState-Owned Enterprises (BUMN).<\/p>\n<p>Shareholders have also approved adjustments to the Indonesian\nStandard Industrial Classification (KBLI) in the company\u2019s articles of\nassociation.<\/p>\n<p>The AGMS has also granted full settlement and discharge of\nresponsibility, or volledig acquit et de charge, to the Board of\nDirectors and Board of Commissioners for their management and\nsupervisory actions during the 2025 Fiscal Year.<\/p>\n<p>Furthermore, shareholders have set the remuneration for management\nfor the 2026 Fiscal Year, appointed a public accountant to audit the\n2026 financial statements, and approved the delegation of authority for\napproving the Long-Term Business Plan (RJPP) 2026-2030 and the 2027 Work\nPlan and Budget (RKAP).<\/p>\n<p>Board of Commissioners:<\/p>\n<p>Dody Usodo Hargosuseno as Chairman of the Board of Commissioners<\/p>",
